3. Description of the Service

AmicoAI is an automated personal assistant based on artificial intelligence that operates through the WhatsApp application and allows the User to:

Requests may be made in writing or via voice message: voice messages are automatically transcribed on the Provider's systems, without transmission to third parties and without the recording being retained (see Privacy Notice, §4.3).

a) create, edit, view and complete reminders and personal activities (to-do list), also with a deadline, periodic repetition (daily, weekly, monthly) or persistent follow-up for activities marked as important; b) receive the related automated reminders on WhatsApp, with the ability to mark them as completed or postpone them directly from the received message; c) set timers, i.e. countdowns lasting between one minute and twelve hours, at the end of which the Service sends a notification; d) create and manage lists without a deadline (e.g. groceries, packing), adding, checking off and removing items; e) store in their own personal Archive a limited number of photographs, documents and links (currently 10 items, of a maximum size of 5 MB each), retrieving them in chat when needed, as set out in arts. 6.1 and 6.2; e-bis) save Notes in text form under a name (currently 10 items, of a maximum length of 4000 characters each), retrieving them in chat when needed, as set out in arts. 6.1 and 6.2; f) optionally connect their own Google calendar, so that reminders are reflected in the calendar and calendar events generate reminders; the connection can be revoked at any time; g) receive, on request, a link to add a single reminder to their calendar, without connecting any account; h) share certain activities with a possible second person (hereinafter the "Partner") indicated during registration; i) access their own personal area on the Portal through a temporary link requested in chat, to view their own data, the status of the Service and certain usage statistics.

The Service is limited to these features. AmicoAI is not a generic conversational assistant and does not respond to requests outside reminders, timers, lists, personal archive and notes (e.g. web searches, medical, legal or financial advice, content generation).

The Provider may introduce new features or modify existing ones, giving notice in this section and, where the change affects the data processed, in the Privacy Notice.

Ways of connecting to the Service:

4. Registration, account and phone numbers

4.1 Creating the account

To use the Service the User must complete a registration wizard, providing:

The Portal login credentials are personal and non-transferable. The User is responsible for their safekeeping and for any activity carried out through the account.

4.2 Partner verification and consent

Should the User indicate a Partner, the Provider will send the Partner a confirmation link (via email and/or WhatsApp) through which the Partner must:

a) review the Privacy Notice; b) give explicit consent to the processing of their personal data for the purposes of the Service; c) confirm activation of the sharing feature.

Without the Partner's explicit consent, shared activities will not be activated. The Main User may still use the Service in single mode.

4.3 Accuracy of data and ownership of numbers

The User warrants that the phone numbers entered are:

a) genuinely owned by them (main number) or by the Partner (secondary number); b) active on WhatsApp; c) entered in compliance with applicable law, in particular with the Partner's consent as set out in art. 4.2 above.

Entering the phone numbers of third parties without their consent constitutes a breach of these Terms and entitles the Provider to immediately suspend and/or terminate the Service.

5. Fees, billing and payment methods

5.1 Subscription plans

Plan Cost Limit
Early-Bird €0.00 (free for life) Reserved for the first 100 members
Standard €9.99 per month (VAT included) For all members from the 101st onward

5.2 Early-Bird Plan ("Free for life")

The first 100 Users who complete registration and activate the Service retain free access for the entire operating lifetime of the Service, subject to the suspension/termination cases provided for in arts. 9 and 10.

The Provider reserves the right to discontinue the Service under art. 10 even for Early-Bird Users, without this constituting an obligation to compensate, subject to mandatory consumer-protection rules.

Voluntary withdrawal, prolonged inactivity (more than 12 consecutive months) or breach of the Terms result in the permanent loss of Early-Bird status. Any subsequent reactivation of the Service will be at the Standard plan.

5.3 Standard Plan

The User subscribes to a monthly, auto-renewing subscription at the price of €9.99 (VAT included). Payment is made through the third-party provider Stripe Payments Europe Ltd., to whom the User will provide their payment details directly. The Provider does not store credit card data.

Renewal is automatic until cancellation. The electronic invoice is made available through the Italian SDI system in accordance with Italian tax law.

5.4 Consumer right of withdrawal

Under Italian Legislative Decree 206/2005 (Consumer Code), the consumer has the right to withdraw from the contract within 14 days of subscribing, without giving a reason and at no cost.

A User who activates the Service before the 14-day period expires and actively uses it expressly authorizes the Service to begin before the withdrawal period ends, and acknowledges that, in the event of subsequent withdrawal within the 14 days, they will owe an amount proportional to the Service actually used (art. 57 Consumer Code).

5.5 Cancelling the subscription

The User may cancel the subscription at any time from the Portal, through the Stripe "Customer Portal" accessible from the dashboard. Cancellation takes effect at the end of the current billing period. No refunds are provided for the period already billed, unless otherwise required by mandatory rules.

6. Proper use of the Service

The User undertakes to use the Service in compliance with the law, public order and accepted standards of decency. In particular, the User may NOT:

a) use the Service for unlawful, fraudulent purposes or purposes contrary to the Terms; b) send through the Service defamatory, offensive, obscene, discriminatory content, content inciting hatred, pornographic content, child sexual abuse material, or content infringing the copyright, patents, trademarks or trade secrets of others; c) attempt to access other Users' data, tamper with or compromise the functioning of the Service or of the Provider's infrastructure; d) use the Service for mass messaging, spam, unsolicited automated marketing, or scraping of third-party data; e) add as Partner the phone numbers of individuals who have not consented to the use of the Service; f) reverse engineer, decompile or disassemble any software component of the Service; g) use the Service in ways that violate the WhatsApp / Meta Platforms Inc. Terms of Service.

The Provider reserves the right, at its discretion, to immediately suspend access to the Service in the event of a breach of the above obligations, with no obligation to refund amounts already paid, and without prejudice to the right to claim compensation for damages suffered.

6.1 Content uploaded to the personal Archive and Notes

The Service allows the User to store photographs, documents and links in their personal Archive, and free text in their Notes, in order to retrieve them at a later time. Regarding such content:

a) the User is solely responsible for what they upload or write and warrants, with respect to the Archive, that they lawfully hold the uploaded content and have the right to store it and receive a copy of it; b) the prohibition set out in point b) of art. 6 above applies in full to the Archive and to Notes. It is in particular strictly forbidden to upload or write child sexual abuse material or material that otherwise constitutes a criminal offense; c) the Provider does not carry out any preventive, automated or manual control over uploaded content or Notes, and is not subject to any general monitoring obligation. Content is stored in encrypted form and can technically be accessed only to provide the Service, to act on a report under the following art. 6.2, or to comply with an order from the Authority; d) should the Provider become aware of the presence of unlawful content, it will remove the content and suspend the account under art. 10 and, in cases provided by law, will promptly inform the competent Authorities, keeping the material available to them according to the instructions received and refraining from any conduct that could prejudice investigations; e) the Archive and Notes are strictly personal: content is returned only to the User who uploaded or wrote it, on the same verified phone number, and is in no way shared, indexed or made accessible to other Users or third parties.

6.2 Reporting unlawful content

Under art. 16 of Regulation (EU) 2022/2065 (Digital Services Act), anyone — User or third party — can report the presence of unlawful content in the Service by writing to aiuto@amicoai.it, with the subject line "Content report".

To allow timely assessment, the report should include: an explanation of why the content is considered unlawful, the details allowing it to be identified, the name and email address of the person reporting (unless the report concerns offenses against minors or against a person, for which identification is not required), and a statement in good faith as to the accuracy of the information provided.

The Provider handles reports received in a timely, diligent, non-arbitrary and objective manner, informs the reporter of the decision taken and the remedies available, and informs the affected User of the removal and the reasons for it, unless prohibited by law or likely to prejudice an investigation by the Authority.

7. Limitations and specific disclaimers on the use of Artificial Intelligence

The Service integrates a third-party generative Artificial Intelligence system (the "AI System") that interprets messages sent by the User and generates automated responses. The User expressly acknowledges and accepts the following:

7.1 Probabilistic nature of the AI

The AI System operates on a probabilistic and statistical basis. This means that:

a) the System's response may not be accurate, complete, up to date or appropriate; b) the System may misunderstand, ignore, partially execute or incorrectly execute a User's instruction (e.g. recording a deadline on the wrong day or time, omitting part of the message, duplicating an activity); c) the System may generate textual responses that are untrue ("hallucinations"), while remaining consistent with the context of the conversation; d) reminders may not be delivered, or may be delivered late or early compared to the requested time, due to causes attributable to the AI System, to WhatsApp/Meta, to the telephone network, to third-party services or to force majeure.

7.2 A support tool, not for critical reliance

AmicoAI is a personal organizational aid and does NOT constitute:

The User agrees NOT to rely on the Service for activities whose missed, incorrect or late execution could cause harm to health, life, their own or others' property, or significant legal, medical or financial consequences. For such activities the User should use adequate, redundant tools.

7.3 Exclusion of warranties on the AI

The Service is provided "as is" and "as available", without any express or implied warranty of:

a) accuracy, reliability or fitness of the AI System's responses; b) suitability of the Service for a specific purpose; c) continuity, uninterrupted availability or absence of errors; d) compatibility with specific devices, WhatsApp versions or operating systems.

7.4 Limitation of liability for AI errors

To the maximum extent permitted by applicable law, and subject to mandatory consumer-protection rules, Guides4you S.r.l. shall NOT be held liable for:

a) errors, omissions, inaccuracies, delays, failed deliveries or unexpected behavior of the AI System; b) any direct, indirect, incidental, consequential, punitive or exemplary damage suffered by the User or third parties due to the use or inability to use the Service or the AI System; c) loss of data, loss of profit, loss of opportunity, reputational or image damage arising from AI System errors; d) decisions or actions taken by the User based on information or responses from the AI System; e) interruptions or malfunctions caused by WhatsApp/Meta Platforms Inc., the AI System provider, telecom operators, or hosting or connectivity providers; f) suspension, restriction or ban of the WhatsApp number used by the Service (whether in Shared Number or Dedicated Number mode) by WhatsApp/Meta Platforms Inc.

In any case, any liability of the Provider — where not fully excluded — is limited to an amount not exceeding the fees actually paid by the User in the 12 (twelve) months preceding the harmful event, excluding all indirect damages.

The exclusions and limitations of liability set out in this article apply to the extent permitted by Italian law and do not apply in cases of willful misconduct or gross negligence by the Provider, nor to the detriment of the consumer's mandatory rights.

7.5 Third parties operating the AI

The AI System is provided by third parties (for example: Anthropic PBC, OpenAI Inc., or other equivalent providers). The Provider acts as a technology integrator and is not liable for the conduct, policies, changes, interruptions or errors attributable to such providers, except where willful misconduct or gross negligence by the Provider itself in selecting or configuring the provider is directly proven.

8. Service availability and dependence on WhatsApp

8.1 No uptime guarantee

The Service is strictly dependent on the availability of:

The Provider does not guarantee any specific level of availability ("uptime SLA") and reserves the right to perform scheduled or unscheduled maintenance with or without notice.

8.2 Independence from WhatsApp/Meta

AmicoAI is not affiliated with, sponsored by or endorsed by WhatsApp LLC, Meta Platforms Inc. or companies within the same group. "WhatsApp" is a registered trademark of its respective owners. The Provider uses the WhatsApp infrastructure within the limits allowed by its terms of service. In the event of suspension, ban, policy changes or termination of access to WhatsApp that make it impossible to provide the Service, the Provider may suspend or terminate the Service under art. 10, without this constituting a breach of contract.

8.3 Dedicated Number mode

Where the Dedicated Number mode is chosen, the User acknowledges that:

a) their own WhatsApp number is connected as a "linked device" to the Provider's infrastructure; b) the Provider will have access to messages sent and received through that communication channel between the User and AmicoAI, solely for the purpose of providing the Service, as described in the Privacy Notice; c) the Provider will NOT access messages the User exchanges with third parties on WhatsApp, unless the User voluntarily forwards them to the AmicoAI number; d) automated use of a WhatsApp number may result in the risk of the number being suspended by WhatsApp/Meta. This risk is borne solely by the User who chooses Dedicated Number mode; the Provider is not liable for such events.

9. Withdrawal by the User

The User may withdraw from the Service at any time by:

a) deactivating the subscription from the Portal (for Standard Users); b) sending a request to aiuto@amicoai.it (in any case).

Following withdrawal, the Provider will deactivate the account, stop providing the Service, and delete personal data as set out in the Privacy Notice.

10. Suspension and termination of the Service by the Provider

The Provider may suspend or terminate the Service for a User, even without notice, if:

a) the User breaches any of the obligations set out in the preceding arts. 4, 6, 7; b) there is well-founded evidence of fraud, abuse or unlawful use of the Service; c) it is required by competent Authorities or ordered by judicial measures; d) continuation of the Service is made impossible by technical, economic or regulatory causes not attributable to the Provider.

The Provider may also discontinue the Service in its entirety, giving Users at least 30 days' notice by email. In that case, Standard Users will be refunded the amount proportional to the unused period of their current subscription.

11. Intellectual property

All intellectual property rights relating to the Service, the "AmicoAI" trademark, the website, graphic content, text, software, databases and know-how remain the exclusive property of Guides4you S.r.l. or its licensors.

The User receives only a personal, non-exclusive, non-transferable and revocable license to use the Service for personal purposes, within the limits set out in these Terms.

Content that the User enters into the Service (for example the text of items in their to-do list) remains the User's property. The User grants the Provider a limited, non-exclusive, free license to use such content solely for the purpose of providing the Service and within the limits of the Privacy Notice.

12. Processing of personal data

The processing of the User's and the Partner's personal data is governed by the Privacy Notice available at https://amicoai.it/privacy, which forms an integral part of these Terms.

The User acknowledges that, for the Service to function, the content of WhatsApp messages exchanged with AmicoAI is transmitted to the AI System provider, as described in the Privacy Notice.

13. Force majeure

The Provider is not liable for any failure to perform arising from causes of force majeure or unforeseeable circumstances, including but not limited to: network interruptions, unavailability of third-party services (WhatsApp/Meta, AI provider, hosting, power, telecommunications), pandemics, natural disasters, strikes, acts of authorities, cyberattacks by third parties.

14. Assignment of the contract

The User may not assign their rights and obligations under these Terms without the Provider's prior written consent. The Provider may assign the contract to third parties as part of extraordinary transactions (business transfer, merger, demerger), giving the User at least 15 days' notice. In that case the User may withdraw under art. 9.

15. Communications

All communications relating to the Service will be sent by the Provider to the email address provided by the User during registration. It is the User's responsibility to keep that address up to date.

The User may contact the Provider at the addresses indicated in art. 1.

16. Governing law and jurisdiction

These Terms are governed by Italian law.

For any dispute arising from these Terms, the Court of Cosenza shall have exclusive jurisdiction, unless the User qualifies as a consumer under Legislative Decree 206/2005, in which case the court of the consumer's place of residence or elective domicile shall have jurisdiction, under art. 66-bis of the Consumer Code.

In accordance with art. 14 of EU Regulation 524/2013, the Provider informs the consumer User of the possibility of using the European ODR platform for the out-of-court resolution of online disputes, accessible at https://ec.europa.eu/consumers/odr.

17. Clauses subject to specific approval under arts. 1341 and 1342 of the Italian Civil Code

Pursuant to arts. 1341 and 1342 of the Italian Civil Code, the User declares to have specifically read, understood and approved the clauses in the following articles:

Acceptance of these clauses takes place through a double-click consent during registration, with express indication of the clauses subject to art. 1341 of the Civil Code.

18. Final provisions

The invalidity, unlawfulness or ineffectiveness of one or more clauses of these Terms will not affect the validity of the remaining clauses.

Failure or delay by the Provider to exercise a right provided for in the Terms does not constitute a waiver of that right.

These Terms, together with the Privacy Notice, constitute the entire agreement between the parties regarding the Service and supersede any prior understanding, written or verbal.
